Terms of Service
Please review the terms and conditions for using PureIntro
Effective Date: August 15, 2026
Last Updated: August 15, 2026
Welcome to PureIntro. These Terms of Service (“Terms”) govern your access to and use of the PureIntro platform, website, and related services (collectively, the “Platform”). PureIntro is operated by Ariko LLC, a company incorporated in the State of Nevada (“PureIntro,” “we,” “us,” or “our”). Please read these Terms carefully before creating an account or using the Platform. These Terms are provided in English. If there is a conflict between the English version and any translation, the English version controls.
1. Acceptance of Terms
1.1 Agreement to Terms
By creating an account, accessing, or using the Platform, you (“you” or “User”) agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you may not use the Platform.
1.2 Guest Users
If you access the Platform without creating an account (for example, through a link sent to you by another User), your use of informational pages is governed by these Terms as posted on those pages. Before you take any binding action through the Platform — such as accepting a referral agreement or authorizing a payment — you will be required to affirmatively consent to these Terms through a clickthrough acceptance gate. PureIntro records each consent event for compliance purposes.
1.3 Consent to Electronic Communications and Transactions
By using the Platform or taking any action through a link provided by PureIntro, you consent to receive communications from PureIntro electronically, including by email, SMS, and through the Platform itself. You also consent to conduct transactions electronically. This consent satisfies any legal requirement that such communications or transactions be in writing, to the extent permitted by applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state equivalents.
To access, review, and retain electronic records and communications from PureIntro, you need a device with a web browser and an internet connection. You should save or print copies of these Terms and any transaction confirmations for your records. You may withdraw your consent to electronic communications prospectively by ceasing to use the Platform and contacting us, but withdrawal does not affect the legal validity of any electronic communication or transaction completed before withdrawal.
1.4 Age Requirement
You must be at least eighteen (18) years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old. If we learn that a User is under 18, we will terminate their account and delete their information promptly.
2. Account Registration and Security
2.1 Account Creation
To use certain features of the Platform, you must create an account by providing a valid, non-disposable email address and creating a password, or by authenticating through a supported third-party service. Authenticating through a third-party service creates a PureIntro account.
2.2 Individual Use Only
Your account is for your individual use only. You may not share your login credentials with any other person. You are solely responsible for maintaining the confidentiality and security of your login credentials and for all activity that occurs under your account.
2.3 Account Security
You agree to notify PureIntro immediately if you become aware of any unauthorized use of your account or any other breach of security. PureIntro is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.
2.4 Login Restrictions
PureIntro may restrict access to your account after multiple failed login attempts or other activity that suggests unauthorized access, as part of our security measures.
3. Platform Description and Disclaimers
3.1 What PureIntro Is
PureIntro is a referral coordination platform that facilitates payment processing through a third-party payment processor. The Platform enables professionals to send and receive referrals, record referral fee understandings, and facilitate referral fee payments through our payment processor.
The Platform is offered exclusively for use within the United States by professionals operating in the United States. PureIntro makes no representation that the Platform is appropriate, available, or legally compliant in any other jurisdiction. If you access the Platform from outside the United States, you do so entirely at your own risk and are solely responsible for compliance with all applicable local laws. PureIntro reserves the right to restrict access from any jurisdiction at any time.
3.2 What PureIntro Is Not
PureIntro is not a bank, financial institution, money services business, escrow service, collection agency, law firm, or dispute-resolution service. PureIntro does not hold, control, or transmit User funds.
3.3 No Professional Advice
PureIntro does not provide legal, financial, tax, or professional advice. Industry fee norms and financial benchmarks displayed on the Platform are for informational purposes only and do not constitute financial, legal, or professional advice. Earning-potential and business-value benchmarks are derived from top-performing users within the relevant industry and do not represent averages or typical results. These figures do not represent or guarantee any specific outcome, income, or earnings for any User. Actual results depend on your industry, location, referral volume, and other factors outside PureIntro’s control. You should consult your own advisors regarding your specific circumstances.
3.4 No Endorsement of Users
PureIntro does not provide, endorse, or guarantee any services performed by Users. PureIntro does not verify the quality, legality, or safety of services that Users offer or refer.
3.5 Demo Mode
Any actions taken in the Platform’s demo or preview mode do not create real obligations, agreements, or payment responsibilities.
4. User Roles and Responsibilities
4.1 Roles
Users may act as a Sender (a User who submits a referral), a Receiver (a User who receives a referral), or both. The term “User” in these Terms refers to any individual using the Platform in any role unless a specific role is identified.
4.2 Independent Parties
Users are independent parties. Nothing in these Terms creates an employment relationship, agency, partnership, or joint venture between any User and PureIntro, or between any Users.
4.3 Compliance Responsibility
Users are solely responsible for compliance with all applicable laws, regulations, and professional standards related to their referral activities, including but not limited to referral fee legality, required disclosures, and licensing requirements.
4.4 Professional Licensing Warranty
You represent and warrant that you hold all licenses, permits, registrations, and professional certifications required by applicable law to engage in your profession and to participate in referral arrangements in your jurisdiction.
4.5 Accuracy of Information
You represent and warrant that all information you provide to PureIntro is accurate, complete, and not misleading. Intentional misrepresentation of any facts — including but not limited to deal sizes, industry classification, business relationships, or account information — is a violation of these Terms and may result in account suspension or termination.
5. Sender Obligations
5.1 Client Data Warranty
By submitting a referral, you represent and warrant that you have appropriate authority or consent to share the Client’s contact information with PureIntro and the Receiver, that the Receiver has consented to receive communications from PureIntro at the contact information you provide (including text messages sent by automated means), that you have informed the Receiver that PureIntro will contact them regarding the referral, and that neither the Client nor the Receiver is a minor.
5.2 Accurate Deal-Size Reporting
You agree to accurately report deal sizes when submitting referrals. Intentional misrepresentation of deal values is a violation of these Terms and may result in account suspension or termination.
6. Referral Agreements
6.1 Nature of Referral Agreements
Referral fee agreements are between the Sender and the Receiver. PureIntro is not a party to any referral fee agreement. A referral fee agreement recorded on the Platform is a documented understanding between the Sender and the Receiver. PureIntro facilitates the recording of this understanding but is not a party to it, does not guarantee its enforceability, and does not enforce it. Whether a referral fee agreement constitutes a binding obligation between the Sender and the Receiver is determined by applicable law and the parties’ conduct, not by PureIntro. The use of the term ‘agreement’ throughout these Terms is for convenience only and does not create or imply a binding contract between Users or any obligation on the part of PureIntro.
PureIntro’s facilitation of referral fee agreements — including the establishment of fee ranges, display of industry fee norms, and processing of referral fee payments — does not constitute PureIntro’s endorsement, approval, or verification of the legality or propriety of any particular referral fee arrangement in any jurisdiction. You are solely responsible for determining whether your referral fee arrangements comply with applicable laws and professional regulations.
6.2 Fee Range
The Platform permits referral fee percentages within a range we establish from time to time. This range is intended to prevent clearly anomalous arrangements; it does not obligate either party to agree to any particular fee within the range. You remain free to decline any referral whose fee you consider unacceptable.
6.3 Expiration and Inactivity
A referral agreement that has not been accepted by the Receiver within the acceptance window shown on the Platform will expire automatically. Referrals that remain inactive beyond the Platform’s inactivity threshold will be marked as inactive. For referrals with a future estimated completion date, the inactivity clock begins after the estimated completion date has passed.
6.4 Multiple Receivers
A Sender may submit a referral to multiple Receivers simultaneously. When one Receiver accepts the referral agreement, all other pending agreements for that referral are automatically withdrawn. No Receiver has an exclusive right to accept a referral agreement until acceptance is completed.
6.5 Counter-Offers
A Receiver may propose a different fee percentage (a counter-offer). If the Sender accepts the counter-offer, the referral agreement is recorded at the counter-offered rate. If the Sender declines the counter-offer, the original proposal remains available for the Receiver to accept, decline, or let expire.
7. Standing Agreements (Pre-Approval)
7.1 Pre-Approval
A Receiver may establish a standing agreement (also referred to as a pre-approval in the Platform) to automatically accept all future referrals from a specific Sender at a specified referral fee percentage.
7.2 Revocation
A Receiver may revoke a standing agreement at any time. Revocation does not affect referrals already accepted under the standing agreement.
7.3 Fixed Rate
A standing agreement applies only at the referral fee percentage specified when the standing agreement was created. There is no mechanism for either party to alter the fee percentage within an active standing agreement. To change the rate, the Receiver must revoke the existing standing agreement, and the parties must establish a new one.
7.4 Payment Obligations
Each referral automatically accepted under a standing agreement is treated by the Platform in the same manner as a manually accepted referral agreement, including for purposes of payment processing, payment reminders, and Platform enforcement policies (such as service pauses for unpaid fees).
8. Payments
8.1 Payment Processor
Payment processing services for PureIntro are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service. By agreeing to these Terms, you also agree to be bound by the Stripe Services Agreement, as may be modified from time to time. You can review the Stripe Privacy Policy for information about how Stripe handles your data.
8.2 Merchant of Record
The Sender’s connected account with our payment processor is the merchant of record for referral fee payments. PureIntro is not the seller, merchant, or payment recipient for referral fee transactions. PureIntro does not hold, pool, transmit, or exercise discretionary control over User funds at any point in the payment process. All funds flow directly between the parties’ bank accounts through our payment processor. PureIntro does not guarantee payment between Users.
PureIntro provides administrative instructions to our payment processor on behalf of Users in connection with Platform transactions. PureIntro does not at any time hold, pool, commingle, or exercise custodial control over User funds. All funds flow directly between the parties’ respective bank accounts through our payment processor’s infrastructure.
PureIntro’s instructions to our payment processor — including instructions to initiate charges, collect application fees, and present or relay supported account-action requests through embedded payment-management surfaces in the Platform — are administrative actions taken to operate the Platform. These instructions do not constitute PureIntro receiving, holding, or transmitting User funds.
8.3 Platform Fees
PureIntro charges a platform fee for each referral processed through the Platform’s built-in payment system. The platform fee is calculated as a percentage of the total client deal value reported at referral completion, not as a percentage of the referral fee. The current platform fee rate is set forth in the Pricing section of our homepage, which is incorporated into these Terms by reference. PureIntro absorbs all payment processing fees charged by our payment processor; you are not charged separately for processing costs.
The platform fee is collected as an application fee deducted from the referral fee payment before payout to the Sender. The Sender bears the platform fee.
PureIntro reserves the right to modify the platform fee upon thirty (30) days’ advance written notice to you. Any modified fee applies only to referrals first submitted through the Platform after the effective date of the change. “Platform fees” as used in these Terms refers exclusively to fees charged by PureIntro to the User and does not include the referral fees flowing between Users.
8.4 Required Use of Platform Payment System
All referral fee payments arising from agreements recorded on the Platform must be processed through the Platform’s built-in payment system. Users may not arrange off-platform payments to circumvent PureIntro’s payment processing or platform fees. Violation of this provision is a material breach of these Terms.
8.5 Payment Method and Currency
The Platform supports ACH bank transfers only, in United States Dollars (USD) only. A United States bank account is required to send or receive payments through the Platform.
8.6 Identity Verification and Payout Holds
Payouts may be held by our payment processor pending completion of identity verification, tax, risk, or other account requirements required by the payment processor or applicable law. The Platform may surface those requirements and related status messages within embedded payment-management flows. At no point does PureIntro hold or control the underlying funds.
Payouts that remain held due to incomplete identity verification for extended periods will be handled in accordance with applicable unclaimed property laws and our payment processor’s policies. We may contact you periodically regarding incomplete verification. If verification is not completed within a commercially reasonable period, held funds may be processed in accordance with our payment processor’s terms and applicable law.
8.7 ACH Reversals
ACH transfers may be reversed by the originating bank for various reasons, including insufficient funds, account errors, or unauthorized transaction claims. Certain reversals, including unauthorized transaction claims, may occur up to sixty (60) days after the original debit. The Sender bears the risk of all ACH reversals regardless of timing or reason. PureIntro is not a backstop or guarantor for reversed transactions and has no obligation to cover or reimburse amounts lost due to ACH reversals.
Because your connected account is the merchant of record, our payment processor has a direct relationship with you and may independently pursue you for negative balances resulting from ACH reversals or other payment disputes, in accordance with the payment processor’s own terms.
8.8 Failed Payment Retry
If an ACH debit fails due to insufficient funds, a closed account, or a technical failure, PureIntro may automatically re-attempt the debit. Re-attempts are limited in number and timing in accordance with applicable NACHA Operating Rules and our payment processor’s policies. By agreeing to these Terms, you authorize PureIntro and our payment processor to re-attempt ACH debits that fail for these reasons.
Re-attempts will not be made for transactions returned as unauthorized or for permanently closed accounts. You may contact PureIntro to revoke your authorization for re-attempts of a specific transaction.
8.9 NACHA Operating Rules
Your use of ACH payment services through the Platform is subject to the NACHA Operating Rules. You agree to comply with the NACHA Operating Rules as they apply to your transactions.
8.10 Guest Payment Access
If you use the Platform as a guest to make a payment, you may be required to create an account for continued use of the Platform. PureIntro may impose limits on the number or value of payments that may be made or received without an account. By authorizing a payment through the Platform as a guest, you agree to all payment-related provisions of these Terms, including Sections 8 (Payments), 14 (Collection and Survival of Payment Obligations), 17 (Limitation of Liability), 18 (Indemnification), and 19 (Dispute Resolution), regardless of whether you create an account.
8.11 ACH Debit Authorization
By linking a bank account through our payment processor and using the Platform’s payment system, you authorize PureIntro and our payment processor to initiate ACH debit entries from your linked bank account for referral fee payments you owe under accepted referral agreements. The platform fee described in Section 8.3 is not a separate debit; it is deducted as an application fee from the referral fee payment before payout to the Sender. This authorization is for debit entries only. The amount of each debit will correspond to the referral fee for a specific referral, as determined by the accepted referral agreement. Debits will occur at varying intervals based on when referral fee payments are initiated through the Platform; there is no fixed schedule. This authorization remains in effect until you revoke it by disconnecting your bank account through the Platform, and PureIntro has had a reasonable opportunity to act on your revocation. Revoking this authorization does not terminate your obligation to pay amounts owed under these Terms. In the case of an erroneous debit to your account, you have the right to have the amount of the error credited to your account by your financial institution.
9. Tax Reporting
9.1 Tax Forms
If your earnings through the Platform meet applicable IRS reporting thresholds, applicable 1099 tax forms will be issued electronically by our payment processor in accordance with IRS requirements and your payment processor account settings. PureIntro does not directly issue tax forms; our payment processor handles tax reporting for connected accounts.
9.2 Consent to Electronic Delivery
By using the Platform, you consent to electronic delivery of tax forms. You may update your delivery preferences through your account settings or by contacting our payment processor directly.
9.3 Tax Responsibility
You are solely responsible for determining and fulfilling your tax obligations. PureIntro does not provide tax advice.
10. Prohibited Conduct
10.1 Excluded Industries
The following industries are permanently excluded from the Platform: Medical/Healthcare, Legal, and Accounting and Finance. Referrals involving services in these industries are prohibited.
10.2 Compliance-Gated Industries
Certain additional industries may be supported in the future as regulatory requirements are met. Until expressly supported, referrals in those industries are not permitted.
10.3 Prohibited Activities
You agree not to engage in any of the following:
(a) Submitting fabricated or fraudulent referrals.
(b) Submitting self-referrals or engaging in circular referral arrangements designed to generate artificial fees.
(c) Intentionally misrepresenting deal sizes, whether by overstating or understating values.
(d) Intentionally misrepresenting any facts, including industry classification, business relationships, or account information.
(e) Arranging off-platform payments to circumvent PureIntro’s payment processing or platform fees.
(f) Using the Platform for money laundering, terrorist financing, or any other illegal financial activity.
(g) Sharing your account credentials or permitting another person to use your account.
(h) Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Platform, or scraping, crawling, or using automated means to access the Platform.
(i) Interfering with or disrupting the Platform, its servers, or networks connected to the Platform.
(j) Impersonating another person or entity, or misrepresenting your affiliation with a person or entity.
(k) Using the Platform for competitive analysis, benchmarking, or building a competing product or service.
(l) Violating any applicable local, state, national, or international law, regulation, or third-party rights.
(m) Contacting individuals through the Platform in violation of applicable Do Not Call (DNC) regulations.
11. Communications
11.1 Electronic Communications Consent
You consent to receive all communications from PureIntro electronically, including by email, SMS, in-app notifications, and through the Platform.
Communications from PureIntro may be provided in any language we support, based on your language preference or the language of the referral. Regardless of the language of individual communications, these Terms (in English) govern your use of the Platform.
11.2 Required Communications
Certain communications related to account security, legal obligations, and active transactions are necessary to operate the Platform and cannot be opted out of while your account remains active.
Some communications necessary for the operation of the Platform are classified as commercial messages under applicable law and include unsubscribe mechanisms. However, because these communications relate to active financial obligations or core Platform functions, opting out may result in the delivery method changing (for example, from email to in-app notification) rather than the communication being eliminated entirely.
Required communications may be delivered in digest format rather than individually, based on your notification preferences.
11.3 SMS Communications
For SMS communications: reply STOP to any PureIntro SMS to opt out of SMS messages. Reply RESUME to re-enable SMS messages. Standard message and data rates may apply. Message frequency varies. You consent to receive SMS text messages from PureIntro at the phone number you provide, sent using an automated text messaging system. These messages include referral notifications, payment updates, security alerts, and other communications related to your use of the Platform. You may revoke SMS consent at any time by replying STOP. Your opt-out request will take effect promptly, and you may receive a confirmation message after sending STOP.
If you opted out of SMS messages before creating an account, your opt-out preference is preserved. You will need to explicitly opt in to SMS messages during or after account creation to receive them.
If another User provided your contact information to the Platform, you may receive email and SMS messages related to a referral involving you. You may stop SMS messages at any time by replying STOP.
11.4 Notification Volume and Modifications
To manage notification volume, PureIntro may automatically adjust your notification delivery preferences for specific categories (for example, switching from instant delivery to daily digest) when high message volumes are detected. You may restore your preferred settings at any time through your notification preferences. PureIntro may also pause recurring communications during extended periods of account inactivity, and may modify the types or frequency of communications over time.
11.5 Payment Reminders and Escalation
If a referral fee payment remains outstanding, PureIntro sends escalating reminders to the paying party. At later escalation stages, PureIntro may notify the other party to the referral agreement of the outstanding payment status, including the amount due and duration of non-payment.
11.6 Platform-Composed Messages
The Platform may compose draft messages for you to send to your counterparties through your own email or SMS client. PureIntro does not send these messages on your behalf. You are responsible for reviewing, editing, and choosing whether to send any composed message. PureIntro logs when you initiate a composed message but does not confirm or guarantee delivery.
12. Disputes Between Users
12.1 No Mediation or Arbitration by PureIntro
PureIntro does not mediate, arbitrate, or resolve disputes between Users. When a dispute is flagged by either party, both parties have access to the shared platform record for that referral.
12.2 No Adjudication Tools
PureIntro does not have tools, authority, or obligation to adjudicate disputes between Users, review evidence submitted by either party, recommend outcomes, or override dispute results.
12.3 User Responsibility
Users are solely responsible for resolving disputes between themselves, whether through direct communication, mediation, or legal proceedings outside the Platform.
13. Account Suspension and Termination
13.1 PureIntro’s Rights
PureIntro reserves the right to suspend, restrict, or terminate your account or access to the Platform at any time, with or without notice, for any reason permitted by law, including but not limited to violation of these Terms, suspected fraud, or risk to the Platform or other Users.
13.2 Graduated Enforcement
PureIntro may take enforcement actions on a graduated basis, which may include, at PureIntro’s sole discretion: issuing a warning, restricting specific features, temporarily suspending your account, permanently terminating your account, or referring the matter to law enforcement.
13.3 Automated Decisions
PureIntro uses automated systems for fraud detection, payment obligation enforcement, and account status management. These systems may automatically pause your account, flag transactions, or restrict features. You may request human review of any automated decision by submitting an appeal as described in Section 13.7.
13.4 ACH Incidents
Any ACH reversal, return, dispute, or proof-of-authorization inquiry associated with your account will trigger an immediate pause of your account pending review by PureIntro.
13.5 Service Pause for Unpaid Fees
We may pause your account if your unpaid referral fees exceed thresholds we establish from time to time.
13.6 Permanent Bans
A permanent ban may involve termination of your account at both the Platform level and the payment processor level.
13.7 Appeals
If your account is suspended or terminated, you may submit an appeal by contacting PureIntro at the address provided in Section 21. PureIntro will use commercially reasonable efforts to review appeals within a reasonable timeframe.
13.8 Payout Holds
PureIntro may instruct our payment processor to delay payouts when unusual activity is detected on your account, pending review. PureIntro does not hold or control the underlying funds at any point.
13.9 Fraud Prevention
PureIntro employs fraud prevention measures, which may include sharing fraud-related identifiers with and receiving fraud-related identifiers from our payment processor and maintaining an internal database of fraud indicators.
13.10 Post-Termination
Upon termination of your account, pending payments will be processed or returned in accordance with our payment processor’s policies. Any platform fees owed to PureIntro at the time of termination remain due and payable.
14. Collection and Survival of Payment Obligations
14.1 Survival
Amounts owed to PureIntro survive termination or suspension of your account.
14.2 Collection Remedies
If your account has outstanding unpaid platform fees, PureIntro may:
(a) Suspend or limit your access to the Platform until amounts are resolved;
(b) Set off any amounts you owe to PureIntro, including but not limited to unpaid platform fees and amounts owed under Section 18 (Indemnification), against any amounts PureIntro may owe to you; and
(c) Pursue collection through lawful means, including referral to a third-party collection agency.
14.3 Collection Costs
You agree to reimburse PureIntro for reasonable costs incurred in collecting past-due amounts, including reasonable attorney fees.
15. User Content and Intellectual Property
PureIntro and its licensors own all right, title, and interest in and to the Platform, including all software, algorithms, designs, trademarks, service marks, and related intellectual property. Nothing in these Terms grants you any right, title, or interest in the Platform other than the limited right to use it as described herein.
15.1 Content License
By submitting content to the Platform (including but not limited to profile information, referral details, messages, and comments), you grant PureIntro a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and process that content for the purposes of operating and improving the Platform and its services.
This license terminates upon deletion of the applicable content or deletion of your account, except to the extent PureIntro needs to retain the content to: (a) maintain referral records accessible to your counterparties, (b) comply with legal obligations, (c) resolve disputes, or (d) enforce these Terms.
15.2 Feedback and Suggestions
Any feedback, suggestions, ideas, or other information you provide to PureIntro about the Platform or its services becomes the property of PureIntro. We may use feedback for any purpose without obligation or compensation to you.
15.3 Testimonials
If you submit a testimonial through the Platform, you grant PureIntro the right to display that testimonial publicly under the content license in Section 15.1. In addition, you will be asked to provide separate, explicit consent at the time of testimonial submission before any testimonial is displayed.
15.4 Testimonial Retraction
You may request removal of a testimonial you previously submitted by contacting PureIntro. PureIntro will use commercially reasonable efforts to remove the testimonial within a reasonable time after receiving your request from active Platform pages under PureIntro’s direct control.
15.5 Private Notes
Private notes you create on referrals within the Platform are for your personal use only. PureIntro does not use private notes for product improvement, analytics, artificial intelligence training, or any purpose other than providing the notes feature to you. PureIntro will access private note content only when required by law (such as a court order) or when necessary for a specific fraud investigation. Private notes are included in data exports and are deleted upon account deletion.
15.6 User Responsibility for Content
You are solely responsible for the content of messages, comments, and other information you submit through the Platform. You agree not to submit content that is unlawful, defamatory, harassing, threatening, or otherwise objectionable.
15.7 System-Generated Logs
Activity logs generated by the Platform (such as referral status changes, payment events, and agreement actions) are system records maintained by PureIntro. These logs are permanent and cannot be edited or deleted by Users.
15.8 Non-User Data Requests
PureIntro may modify or redact referral records to comply with valid data deletion or correction requests from non-users whose information appears on the Platform. Users acknowledge this right and waive any claim against PureIntro arising from such modifications.
16. Disclaimer of Warranties
16.1 As Is and As Available
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PUREINTRO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
16.2 No Guarantees
WITHOUT LIMITING THE FOREGOING, PUREINTRO DOES NOT WARRANT OR GUARANTEE THAT:
(a) Referrals submitted through the Platform will result in business, revenue, or any particular outcome;
(b) Payments will process successfully, completely, or on time;
(c) ACH transfers will not be reversed, returned, or disputed;
(d) The services provided by any User who receives a referral will be of any particular quality, legality, or safety; or
(e) The Platform will be uninterrupted, error-free, or secure.
16.3 No Payment Guarantee
PureIntro does not guarantee that any User will make or receive any payment. Payment obligations arising from referral agreements are between the Sender and the Receiver, and PureIntro is not a guarantor, insurer, or backstop for those obligations.
17. Limitation of Liability
17.1 Liability Cap
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PUREINTRO’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL PLATFORM FEES PAID BY YOU TO PUREINTRO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00). FOR THE AVOIDANCE OF DOUBT, “PLATFORM FEES” MEANS FEES CHARGED BY PUREINTRO TO YOU AND DOES NOT INCLUDE REFERRAL FEES FLOWING BETWEEN USERS.
For claims arising directly from a payment processing error caused by a defect in PureIntro’s own software (as distinct from errors caused by our payment processor, your bank, or the ACH network), PureIntro’s liability shall not exceed the amount of the specific transaction at issue.
This cap applies to all claims in the aggregate, regardless of the number of claims, incidents, or theories of liability.
17.2 Exclusion of Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PUREINTRO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, LOSS OF REFERRAL OPPORTUNITIES, OR DAMAGE TO REPUTATION, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF PUREINTRO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
18. Indemnification
18.1 Indemnification Obligation
You agree to indemnify, defend, and hold harmless PureIntro, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to:
(a) Your use of the Platform;
(b) Your violation of these Terms;
(c) Your referral activities, including the legality and compliance of referral fees in your jurisdiction;
(d) Any ACH reversal, return, or dispute arising from transactions on your connected account, to the extent such events cause loss, cost, or liability to PureIntro, including but not limited to lost platform fees, investigation costs, or claims by third parties;
(e) Your failure to comply with applicable laws, regulations, or professional standards;
(f) Your content or information submitted through the Platform;
(g) Any claim by a third party (including a referred client) arising from your submission of that party’s personal information without adequate authority or consent; or
(h) Any dispute between you and another User.
19. Dispute Resolution (User vs. PureIntro)
19.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (“Dispute”) informally by contacting PureIntro at the address provided in Section 21. The parties shall attempt in good faith to resolve the Dispute for a period of ninety (90) days from the date written notice of the Dispute is received.
19.2 Binding Arbitration
If a Dispute is not resolved through informal resolution within the ninety (90) day period, either party may initiate binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator. The arbitration shall take place in the State of Nevada, unless the parties mutually agree otherwise or the arbitrator determines that an in-person hearing is not necessary.
If you accept a referral agreement, authorize a payment, or take any other binding action through the Platform without creating an account, the consent you provided at the time of that action constitutes your agreement to these dispute resolution provisions.
19.3 Arbitration Fees
Payment of arbitration fees shall be governed by the AAA Consumer Arbitration Rules.
19.4 Class Action Waiver
YOU AND PUREINTRO AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
19.5 Small Claims Court
Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the jurisdiction of such court.
19.5A Injunctive Relief
Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration. Any such court proceedings shall not be deemed a waiver of the right to arbitrate.
19.6 Opt-Out
You may opt out of this arbitration agreement by sending written notice to PureIntro at the address provided in Section 21 within thirty (30) days of your initial account creation. Your opt-out notice must include your full name, account email address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, the remaining provisions of these Terms remain in full force and effect.
For Users who take binding actions through the Platform without creating an account, the thirty (30) day opt-out period begins on the date of your first binding action through the Platform (such as accepting a referral agreement or authorizing a payment).
19.7 Statute of Limitations
Any Dispute must be filed within one (1) year after the date the party asserting the Dispute first knew or reasonably should have known of the facts giving rise to the Dispute. Failure to file within this period constitutes a waiver of such Dispute to the fullest extent permitted by applicable law.
This limitation period applies to the fullest extent permitted by applicable law. Where applicable law prohibits shortening the limitations period for a particular type of claim, the statutory limitations period for that claim type shall apply.
19.8 Batch Arbitration
If twenty-five (25) or more substantially similar Disputes are filed against PureIntro within a ninety (90) day period, the parties agree to the following bellwether process: (a) the parties shall cooperate to select ten (10) representative Disputes for initial arbitration; (b) all other Disputes shall be stayed pending resolution of the bellwether cases; and (c) the results of the bellwether arbitrations shall be used to inform good-faith settlement negotiations for the remaining Disputes.
To the extent this Section conflicts with the AAA’s procedures for mass arbitration, the AAA’s procedures shall govern.
20. General Legal Provisions
20.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of laws provisions.
20.2 Venue
For any disputes not subject to arbitration (including actions for injunctive relief or disputes following a valid opt-out under Section 19.6), exclusive jurisdiction and venue shall lie in the state and federal courts located in the State of Nevada, and each party consents to the personal jurisdiction of such courts.
20.3 Assignment
PureIntro may assign or transfer these Terms, or any rights or obligations hereunder, without restriction. PureIntro will use commercially reasonable efforts to notify you of any such assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without PureIntro’s prior written consent.
You may not assign, transfer, or delegate any claim arising from or related to your use of the Platform, including any referral fee claim, to any third party without PureIntro’s prior written consent.
20.4 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.
20.5 Waiver
The failure of PureIntro to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by PureIntro.
20.6 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly referenced herein, constitute the entire agreement between you and PureIntro with respect to the Platform and supersede all prior or contemporaneous understandings, agreements, representations, and warranties regarding the Platform.
20.7 Force Majeure
PureIntro shall not be liable for any delay or failure to perform any obligation under these Terms if such delay or failure results from causes beyond PureIntro’s reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, labor disputes, government actions, internet or telecommunications failures, power outages, payment processor outages, and ACH network disruptions.
This force majeure provision applies solely to PureIntro’s obligations. It does not excuse any User’s payment obligations or other duties under these Terms.
20.8 Survival
The following provisions survive termination or expiration of these Terms: Section 8.3 (Platform Fees), Section 8.7 (ACH Reversals), Section 9 (Tax Reporting), Section 14 (Collection and Survival of Payment Obligations), Section 15 (User Content and Intellectual Property), Section 16 (Disclaimer of Warranties), Section 17 (Limitation of Liability), Section 18 (Indemnification), Section 19 (Dispute Resolution), Section 20 (General Legal Provisions), and any other provisions that by their nature should survive.
20.9 Headings
Section headings in these Terms are for convenience only and do not affect the interpretation of these Terms.
21. Changes to Terms
21.1 Modifications
PureIntro reserves the right to modify these Terms at any time. We will provide at least thirty (30) days advance notice of material changes by email and through the Platform. Non-material changes may be made at any time and will be indicated by updating the “Last Updated” date at the top of these Terms.
21.2 Acceptance of Modified Terms
For material changes, you will be required to re-accept the updated Terms through a blocking acceptance prompt upon your next login after the notice period. If you do not agree to the modified Terms, you must stop using the Platform and close your account. Your continued use of the Platform after the effective date of modified Terms constitutes your acceptance of those Terms.
For Users who access the Platform without an account, material changes will be presented through an acceptance gate before any new binding action is taken through the Platform. Continued use of the Platform after the notice period constitutes acceptance.
